Scope of Application<\/h3>\n\n\n\n<p class=\"translation-block\">These Terms and Conditions apply to executive\/retained search services and candidate introductions provided by <strong>ArbeIT HR OG<\/strong> (\u201c<strong>Agency<\/strong>\u201d) to <strong>corporate clients<\/strong> (\u201c<strong>Client<\/strong>\u201d). Employee leasing is not offered.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">2. Definitions<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"translation-block\"><strong>Introduction:<\/strong> Disclosure of a candidate\u2019s identity and\/or CV, arrangement of an interview, or any other action enabling identification.<\/li>\n\n\n\n<li class=\"translation-block\"><strong>Employment\/Engagement (\u201cEngagement\u201d):<\/strong> any form of collaboration between the Client or an <strong>affiliated group company<\/strong> and the introduced candidate within the protection period.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">3. Services<\/h3>\n\n\n\n<p class=\"translation-block\">Research, outreach, screening, and shortlisting in accordance with the <strong>Statement of Work (SOW)<\/strong>. A successful placement is not guaranteed.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">4. Fees &amp; Invoicing<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li class=\"translation-block\"><strong>Fee basis:<\/strong> The <strong>percentage rate<\/strong> of the candidate\u2019s <strong>annual target gross salary<\/strong> (base salary + target bonus + fixed monetary allowances) is defined <strong>in the SOW<\/strong>.<\/li>\n\n\n\n<li class=\"translation-block\"><strong>Due date:<\/strong> upon <strong>signing of the employment contract<\/strong> (unless otherwise specified in the SOW).<\/li>\n\n\n\n<li class=\"translation-block\"><strong>Payment terms:<\/strong> <strong>14 days net<\/strong> from invoice date; statutory B2B default interest and reasonable dunning\/collection fees apply.<\/li>\n\n\n\n<li class=\"translation-block\"><strong>No minimum fee<\/strong>, unless agreed in the SOW.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">5. Replacement Option (if agreed)<\/h3>\n\n\n\n<p class=\"translation-block\">If expressly agreed in the SOW, the Agency offers one (1) <strong>replacement search<\/strong> within <strong>6 months<\/strong>, provided the invoice was paid on time, the role has not been substantially changed, and the termination is not due to restructuring, site closure, or the Client\u2019s breach of duty. Without a corresponding SOW clause, there is <strong>no<\/strong> entitlement to replacement.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">6. Exclusivity<\/h3>\n\n\n\n<p class=\"translation-block\">Searches may be exclusive or non-exclusive, as defined in the SOW. Even in the case of exclusivity, the Client may still recruit <strong>internally<\/strong>.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">7. Candidate Protection &amp; Non-Disclosure<\/h3>\n\n\n\n<p class=\"translation-block\">If the Client or an <strong>affiliated group company<\/strong> employs or engages the introduced candidate within <strong>24 months<\/strong> of the introduction, the fee becomes payable. The Client may not forward candidate profiles to third parties or group companies (except for internal recruitment purposes); if employment nonetheless occurs, the Client owes the full fee.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">8. Background\/Reference Checks<\/h3>\n\n\n\n<p>Only upon written request in the SOW and always with the candidate\u2019s consent; expenses are borne by the Client.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">9. Confidentiality &amp; Use<\/h3>\n\n\n\n<p>Candidate data and agency reports are confidential and may only be used for evaluating the agreed position(s).<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">10. Data Protection<\/h3>\n\n\n\n<p>Both parties shall comply with applicable data protection laws. The Agency\u2019s privacy policy forms part of these Terms and Conditions.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">11. Subcontractors<\/h3>\n\n\n\n<p>The Agency may engage vetted research freelancers\/partner sourcers who are bound by confidentiality and data processing obligations. The Agency remains responsible.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">12. Liability<\/h3>\n\n\n\n<p class=\"translation-block\">To the extent permitted by law, the Agency\u2019s total liability per assignment is <strong>limited to the fee paid<\/strong>; this does not apply in cases of intent, gross negligence, or personal injury.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">13. Force Majeure<\/h3>\n\n\n\n<p>No liability for delays or performance obstacles beyond reasonable control.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">14. Governing Law &amp; Jurisdiction<\/h3>\n\n\n\n<p class=\"translation-block\">Austrian law applies; exclusive place of jurisdiction is <strong>Vienna<\/strong>.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">15.
